Multiple Development Projects

Meyers Nave worked closely with City staff and negotiated extensively with the landowner, the private developer and the other lenders that provided funding for a mixed-income housing development. The project was financed with tax credits, tax-exempt bonds backed by a letter of credit, City loans and a deferred-payment ground lease.
Meyers Nave drafted a number of agreements and documents for the project, including: statutory development agreements that detail the developer’s obligations to construct certain public improvements; CC&Rs; regulatory agreements that ensure compliance with the City’s affordable housing and inclusionary zoning requirements; loan agreements; and promissory notes and deeds of trust that secure repayment of the City’s $4.5 million loan to the project.
Transit-Oriented Development
Meyers Nave also represented the City in connection with a proposal to develop property adjacent to the existing East Dublin / Pleasanton BART station and in connection with a project adjacent to the proposed new West Dublin / Pleasanton BART station. Both projects will be mixed-use developments. For the 90-acre East Dublin project, Meyers Nave assisted the City in processing an Environmental Impact Report and facilitated general and specific plan amendments to add the area to the City’s Eastern Dublin Specific Plan Area. The entitlements included preliminary rezoning and a master development agreement. The project involved unique issues due to the ownership of the property by a public entity. The West Dublin project is located on 7 acres adjacent to the future station. The approvals included an amendment to a specific plan for the area and preliminary rezoning.
Inclusionary Housing and First-Time Homebuyer Programs
Meyers Nave represented the City in implementation of its inclusionary zoning ordinance and first-time homebuyer loan program. The firm negotiated with developers subject to the inclusionary ordinance; drafted program guidelines and regulations; drafted amendments to the ordinance and regulations as needed; and assisted City staff with requests for refinancing, violation of resale restriction agreements and foreclosures.
Public Transportation
The City of Dublin will soon be home to the new West Dublin / Pleasanton BART station. A number of mixed-use developments are being planned in conjunction with the station. Meyers Nave assisted the City with general and specific plan amendments, entitlements and other legal issues associated with the development. The firm’s past work for the City includes assistance with housing projects, inclusionary housing ordinances and first-time homebuyer programs.
