Paul M. Williams*

Overview

Paul focuses his practice primarily on the international and North American oil and gas industries at all stages of the commercial process—from negotiating and drafting preliminary agreements to the conclusion of definitive contracts and all matters in between, including advice on title review and due diligence matters. He has advised both domestic and international companies on share and asset transactions, disputes, corporate structuring, regulatory compliance, and arbitration.

Paul has acted for clients involved in international petroleum transactions in North and South America, Europe, Asia, Australia and Africa. He has experience in negotiating and drafting various forms of international petroleum agreements relating to operational issues, joint ventures and host government contracts. For companies operating in North America, Paul has drafted and negotiated a variety of oil and gas contracts. Some of these contracts include joint operating agreements, farmout agreements, confidentiality agreements, master services agreements, seismic acquisition agreements, drilling contracts, royalty agreements, and construction, ownership, and operation agreements.

In addition to negotiating and drafting such commercial arrangements, Paul has advised both issuers and underwriters in the energy space of the Canadian capital markets. He has also counseled clients on security of foreign investment issues.
